Sendr Affiliate Programme Terms

1. About these terms 

1.1 These terms form an agreement between Intro Labs Ltd, trading as Sendr (company number 15204378, registered in England and Wales, "Sendr", "we", "us") and you, the approved affiliate ("you"). 

1.2 By submitting an application and accepting an invitation to the Sendr partner portal, you agree to these terms, our Privacy Policy and our Terms of Service. 

1.3 Definitions 

  • Programme: the Sendr Affiliate Programme described in these terms. 

  • Partner portal: the dashboard, provided through our referral platform provider, where you access your Referral Link, track referrals and manage payouts. 

  • Referral Link: the unique tracking link we issue to you. 

  • Referred Customer: a new customer who signs up through your Referral Link, is attributed to you under section 4 and becomes a paying customer. 

  • Net Revenue: the amount a Referred Customer pays for Sendr subscriptions and usage credits, as recorded by our payment provider, after any discounts and excluding any VAT or sales tax, less refunds, credits issued, chargebacks and payment disputes. 

  • Commission: the amount payable to you under section 3. 

2. Joining the programme 

2.1 The Programme is by application only. Submitting an application does not guarantee acceptance. 

2.2 We review applications within 14 days and may accept or decline any application at our discretion, without giving reasons. 

2.3 If approved, you will receive an email invitation to the partner portal. Your participation begins when you complete registration. 

2.4 You must be at least 18, provide accurate information and keep it up to date. You may hold one affiliate account only. 

2.5 If you are already a Sendr customer, give us the email address of your Sendr workspace in your application. We will link your affiliate account to it so you keep a single Referral Link. Customers you referred before joining the Programme stay on the reward terms that applied when they were referred. Your own workspace is not eligible for Commission. 

2.6 We may invite you to move to the Select partner tier. Moving tiers does not change Commission on customers referred before the move (see section 9). 

3. Commission 

3.1 You earn 20% of Net Revenue from each Referred Customer, unless the Gold Rate in section 3.7 applies. 

3.2 Commission is recurring for the lifetime of the Referred Customer's account, for as long as the customer keeps paying and you remain in the Programme in good standing (or, if we end your participation other than for breach, as set out in 8.3), subject to sections 8 and 9. 

3.3 Commission on any single Referred Customer is capped at $5,000 in total. 

3.4 No Commission is payable on: 

  • lifetime deals and one-off deal promotions, and purchases through AppSumo, Pax8 or other marketplaces, resellers, distributors or channel partners, including any later payments on an account created through such a deal or purchase; 

  • deals discounted by more than 30%, or custom-priced enterprise agreements, unless we agree otherwise in writing; 

  • your own account, accounts you control, or accounts of your employer or business (self-referrals); 

  • existing Sendr customers, or prospects already in an active sales conversation with us before their first click on your Referral Link; 

  • VAT or sales tax; 

  • revenue refunded, credited or charged back (see section 5); 

  • referrals obtained in breach of these terms. 

3.5 Commission is calculated and paid in US dollars (USD). Payments made in other currencies are converted to USD by Cello, which covers transfer and conversion fees. If you convert your USD payout into another currency in PayPal, PayPal's exchange rate and any PayPal fees apply. 

3.6 Affiliate Gold. The first 100 affiliates we approve into the Programme are Affiliate Gold partners. We decide the order of approval and may close the Affiliate Gold cohort earlier. Any count of remaining places we publish is indicative only. 

3.7 Gold Rate. While you are an Affiliate Gold partner, you earn 30% of Net Revenue from each Referred Customer (the "Gold Rate"), in place of the rate in 3.1 and subject to 3.2 to 3.4. 

3.8 Activity requirement. To keep the Gold Rate, you must generate at least 2 Qualifying Referrals in each rolling 6-month period, assessed monthly from 6 months after your approval date. A Qualifying Referral is a new Referred Customer whose first payment has become claimable under 5.1, has not been refunded or charged back, and earns Commission under 3.4. 

3.9 Move to the standard rate. If you do not meet the activity requirement, Referred Customers who sign up after that date earn the rate in 3.1. Referred Customers who signed up while you held the Gold Rate keep earning 30%. If you are at risk of missing the requirement, we will email you at least 30 days before the end of the relevant period with your current count. 

3.10 No reinstatement. Once lost, Affiliate Gold status cannot be regained. It is personal to you and cannot be transferred. 

3.11 Annual plans. For a Referred Customer on an annual plan, Commission is calculated on the annual payment and becomes claimable under 5.1. If part of an annual payment is refunded, the related Commission is cancelled or recovered under 5.4 in proportion. 

4. Tracking and attribution 

4.1 Referrals are tracked only through your Referral Link. We do not issue promo codes to affiliates, and coupon or discount codes used without your Referral Link are not tracked. 

4.2 A customer is attributed to you if they sign up within 3 months of clicking your Referral Link, the period for which our referral platform stores the referral cookie. If a customer uses more than one affiliate's Referral Link, the most recent one recorded before signup wins. 

4.3 Attribution depends on cookies and our referral platform. We are not liable for referrals that cannot be tracked because of browser settings, ad blockers, cleared cookies or technical failure outside our reasonable control. 

4.4 Our records of attribution and Net Revenue are final, save for manifest error. You may raise a query within 60 days of the relevant payment period and we will review it in good faith. 

5. Payment 

5.1 Commission is paid by our referral platform provider, Cello (Powerplay GmbH), through the partner portal, under Cello's Terms of Service, which you accept when you register. Sendr funds Commission through Cello and does not pay it to you directly. Commission on each payment by a Referred Customer is shown as pending for 30 days, to allow for refunds and chargebacks. If no refund or chargeback is received in that period, it becomes claimable. 

5.2 You claim Commission from Cello in the partner portal, and it is paid to the PayPal account or other payout method you choose there. You may need an account with the payout provider, in your own name and at your own cost. Payout timing and any minimum payout amount are as shown in the partner portal. 

5.3 You must claim Commission within 3 years of being notified in the partner portal that it is available, in line with Cello's Terms of Service. Unclaimed Commission then lapses. 

5.4 If a payment is refunded or charged back before its Commission becomes claimable, Cello cancels that Commission automatically. If a customer cancels their subscription, Commission on future payments stops. If a payment is refunded or charged back after its Commission has been paid, we may recover that amount from your future Commission or ask you to repay it within 30 days. 

5.5 If we suspect a breach of these terms, we may report it to Cello, which can suspend your account while the matter is reviewed. Under Cello's Terms of Service, Commission earned through a breach is forfeited. 

5.6 If we stop using Cello, we will move the Programme to another platform or pay Commission on your existing Referred Customers ourselves, on the same rates and terms. 

6. How you promote Sendr 

6.1 Disclosure. You must clearly disclose your affiliate relationship wherever you share your Referral Link, in line with the ASA and CAP Code in the UK, the FTC Endorsement Guides in the US, and equivalent rules elsewhere. For video, disclose verbally and in the description. 

6.2 Accuracy. Describe Sendr honestly. Do not make claims about features, pricing, results or integrations that we have not published, and do not offer discounts or terms we have not authorised. 

6.3 You must not: 

  • promote your Referral Link with paid advertising, including paid search, paid social and promoted or sponsored video, unless we have approved it in writing (paid advertising also needs Cello's approval under its Terms of Service); in any case, never bid on "Sendr" or variations of our brand, or run ads that appear to come from Sendr; 

  • register domains, social handles or app names containing "Sendr"; 

  • use your Referral Link on coupon, cashback, incentive or deal-aggregator sites without our written approval; 

  • send unsolicited messages in breach of PECR, UK GDPR, CAN-SPAM or other applicable law; 

  • use cookie stuffing, forced clicks, bots, misleading redirects or any other artificial means to generate clicks or signups; 

  • pay or incentivise people to sign up, or split your Commission with them; 

  • refer yourself, accounts you control or your own business; 

  • promote Sendr alongside illegal, hateful, adult or otherwise harmful content. 

6.4 You are responsible for the content you publish and for complying with the terms of the platforms you use. 

7. Using the Sendr brand 

7.1 We grant you a limited, non-exclusive, revocable, non-transferable licence to use the Sendr name, logo and assets in our media kit, solely to promote Sendr under these terms. 

7.2 Follow our brand guidelines. Do not alter our logo or imply that you are Sendr, an employee of Sendr, or a Select partner unless you are one. 

7.3 You must stop using our brand assets when you leave the Programme, and remove them from live content on request. 

8. Inactivity, suspension and termination 

8.1 Inactivity. If you generate no new Referred Customer for 12 consecutive months, your account becomes inactive. We will email you 30 days before this happens. Once inactive, Commission on your existing Referred Customers stops, and claimable Commission already earned is still paid. 

8.2 Your right to leave. You may leave the Programme at any time by emailing partners@sendr.ai. Claimable Commission already earned is still paid; Commission stops for future payments. 

8.3 Our right to end. We may end your participation on 30 days' notice for any reason. If we do so other than for breach under 8.4, you will keep earning Commission on customers you referred before the end date, for as long as they remain paying customers. 

8.4 Breach. If you breach these terms, we may suspend or end your participation immediately and cancel any unpaid Commission linked to the breach, or all unpaid Commission for serious or repeated breaches such as fraud. 

8.5 Sections 5.4, 5.6, 7.3, 8.3, 10 and any accrued rights survive termination. 

9. Changes to the programme 

9.1 We may change these terms, Commission rates or the Programme, or close the Programme, by giving you at least 30 days' notice by email and in the partner portal. 

9.2 Grandfathering. Changes apply only to customers who become Referred Customers after the change takes effect. Customers you referred before the change keep the Commission rate and terms that applied when they were referred, including the Gold Rate. 

9.3 We may make changes needed to comply with law, prevent fraud or fix errors with shorter notice. 

9.4 If you do not agree with a change, you may leave the Programme under section 8.2. Continuing after the notice period means you accept the change. 

10. Legal 

10.1 Tax. Commission is calculated on Net Revenue, which excludes any VAT or sales tax charged to customers. Commission is paid by Cello, which may ask you for identity and tax information before paying you, so you do not need to invoice Sendr for it. You are responsible for declaring and paying any tax due on Commission you receive. 

10.2 Relationship. You are an independent contractor. Nothing in these terms creates employment, partnership, agency or a joint venture. You may not make commitments on Sendr's behalf. 

10.3 Data protection. Each party is an independent controller of the personal data it processes and must comply with UK GDPR and applicable data protection law. We share with you only the referral data shown in the partner portal. 

10.4 Liability. Nothing in these terms limits liability that cannot be limited by law. Otherwise, our total liability to you under these terms is limited to the Commission paid or payable to you in the 12 months before the claim. Neither party is liable for indirect or consequential loss. 

10.5 Indemnity. You will compensate us for losses arising from your breach of section 6 or 7, or your violation of law in promoting Sendr. 

10.6 Assignment and change of control. You may not transfer these terms. We may transfer these terms to any group company or to a buyer of all or part of our business, and your rights to Commission on existing Referred Customers continue against that buyer. Alternatively, on a change of control, we or the buyer may end all future Commission by giving you 30 days' notice and paying you a one-off amount equal to twice the Commission paid to you in the 12 months before the notice. 

10.7 Entire agreement. These terms, together with our Terms of Service and Privacy Policy and, for payouts, Cello's Terms of Service, are the whole agreement about the Programme. 

10.8 Governing law. These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
